Edlyn Idea Kitchen user terms and conditions

1. These T&Cs are a legal contract between Edlyn Foods Pty Ltd (ACN 007 145 520) of 13 Ricky Way, Epping, Victoria 3076, Australia (“Us”) and you.
2. Edlyn Idea Kitchen means the web facility located at http://www.edlyn.com.au/edlyn-idea-kitchen.

Submitting ideas in the Edlyn Idea Kitchen
3. When You submit any product and packaging ideas, marketing ideas, product improvements, recipes, formulations, comments or other material (“Submissions”) to the Edlyn Idea Kitchen, You agree that We may use, discard, adapt, modify, publish and reproduce such Submissions:
(a) without limitation;
(b) without compensation to You; and
(c) without attribution to You.
4. To the extent that you own intellectual property rights in the Submissions, You give Us a worldwide, perpetual, irrevocable and royalty free licence to exploit those Submissions pursuant to clause 3.
5. We may license any other person to exercise the rights under clauses 3 and 4.
6. You will not hinder or challenge our or our licensee’s right to exercise the rights under clauses 3 or 4, whether by claiming intellectual property rights in the Submissions or otherwise.
7. You agree that We may publicly attribute to You any Submission that You make or any product, product improvement or recipe derived from such Submission, including without limitation making such attribution on product packaging, advertising or our website.

Conduct within the Edlyn Idea Kitchen
8. Your will not post any Submissions that are or contain any defamatory, offensive, misleading, deceptive or illegal material.
9. We may remove Submissions in part or in whole without notice or stated reasons.
10. We may restrict, suspend or terminate your ability to make Submissions or access the Edlyn Idea Kitchen without notice or stated reasons.

Your Submissions do not breach third party rights
11. You warrant that You do and will not make any Submission in breach of any obligations of confidentiality.
12. You warrant that Submissions do not and will not infringe any third party intellectual property rights.
13. You will indemnify Us, our officers, employees, contractors, agents and licensees (“Indemnified Parties”) against any loss, damage or expense arising out of a claim against any Indemnified Parties relating to a breach of confidentiality or infringement of intellectual property rights.

Law and dispute resolution
14. These T&Cs constitute a legally binding agreement between You and Us.
15. We can vary these T&Cs by giving you notice of new T&Cs and requiring you to agree to the new T&Cs before continuing to use the Edlyn Idea Kitchen.
16. These T&Cs are subject to the law of Victoria, Australia.
17. If a dispute arises then you will endeavour to resolve this matter by negotiation with Us first. If you bring any legal claim against Us then You must do so before the courts or tribunals of Victoria, Australia, or the Victorian registry of Australian federal courts. We may bring any claim against You in either Victoria or in the jurisdiction where You are incorporated, have a place of business or have assets.
18. We will deal with any personal information that You submit to Us, including as part of any Submission, in accordance with our privacy policy, which can be found at http://www.edlyn.com.au/privacy/.
